LLC Formation Services in New York

LLC Formation Services in New York, NY — Fast, Accurate, and Done Right
Forming an LLC in Manhattan is not the same as forming one in Delaware, Florida, or Texas. New York attaches a publication requirement to every new LLC, and in New York County that requirement is the most expensive version of it in the country. It is also the step where most online filing services stop helping.
vState Filings LLC has been handling New York entity work since 2007. We are a New York company, headquartered on Long Island, filing with the New York Department of State and New York county clerks every business day. More than 100,000 clients have used us to form entities, publish notices, and stay compliant. Call (866) 638-3309 to talk to someone who actually files in New York.
Why New York Entrepreneurs Choose vState Filings LLC for Business Formation
Most national formation companies treat New York like any other state. They file your Articles of Organization for $200, send you a confirmation email, and leave the publication requirement as a line item in a help article. Four months later you find out your LLC’s authority to do business has been suspended.
We build the New York specifics into the engagement from the start. Before we file, we confirm the county your LLC office will sit in, because that single decision drives your publication cost more than anything else. We tell you the real number up front.
We are not a call center in another time zone reading from a script. We are a filing firm in New York State that works with entrepreneurs, law firms, accounting practices, and real estate companies across Manhattan and the five boroughs. When a Department of State examiner rejects a document, we know why, and we fix it.

What Sets Us Apart
- Publication is a core service, not an upsell: We maintain dedicated service lines for LLC publication, DBA publication, liquor license publication, sidewalk cafe publication, and foundation publication. Very few filing companies handle all five.
- Nineteen years of New York filings: Founded in 2007, with over 100,000 clients served.
- County clerk relationships: Newspaper designations come from the county clerk, and the process differs county by county. We work with all of them.
- Full compliance coverage: Formation, EIN, biennial statements, registered agent, reinstatement, amendments, foreign qualification, dissolution, apostille, and UCC filings under one roof.
- Professional entity experience: PLLCs and PCs require Education Department consent. We prepare those filings routinely for Manhattan medical, dental, legal, architecture, engineering, and accounting practices.
- Direct human contact: One number, (866) 638-3309, and a team that answers questions about your specific filing.

The state filing fee for Articles of Organization is $200, paid to the New York Department of State. We run a name availability check first, prepare and file the Articles, and confirm the exact entity name and formation date on the state's record which matters, because your published notice has to match that record precisely.
Standard processing takes several business days. Expedited handling is available directly from the Department of State: $25 for 24 hour service, $75 for same day service on requests submitted by noon, and $150 for two hour service on requests received by 2:30 p.m.
C-Corporation Formation in New York
S-Corporation Election
An S-Corporation is a tax election, not an entity type. After formation you file IRS Form 2553, and New York requires a separate state election on Form CT-6 for New York S-Corporation treatment. Missing the state election is a common and expensive oversight for New York City businesses.
We file both, and we watch the deadlines that make the election effective for the current tax year.
Professional LLC (PLLC) Formation
Licensed professionals in New York physicians, dentists, attorneys, architects, engineers, land surveyors, certified public accountants, and others generally cannot form a standard LLC. They form a PLLC, which requires a certified copy of the Articles of Organization to be filed with the New York State Education Department, and in most cases prior consent from the Education Department before the Department of State will accept the filing.
PLLCs are also subject to the publication requirement. For a practice on Park Avenue or in Midtown, that means the same New York County newspapers and the same six week schedule.
Professional Corporation (PC)
A PC is the corporate equivalent for licensed practices. It requires Education Department consent, shareholder license verification, and a Certificate of Incorporation filed under Article 15 of the Business Corporation Law. Ownership is restricted to licensed individuals in the same profession.
We coordinate the consent, the incorporation, and the follow up filing with the Education Department.
Limited Partnership (LP) Formation
New York LPs are common in real estate a general partner managing a building, limited partners holding capital. LPs file a Certificate of Limited Partnership and are subject to the same six week, two newspaper publication requirement as LLCs.
We handle formation, publication, and single-purpose entity (SPE) structuring where a lender requires it.
Limited Liability Partnership (LLP)
The New York LLC Publication Requirement Explained
Section 206 of the New York Limited Liability Company Law requires every new LLC to publish notice of its formation once a week for six consecutive weeks in two newspapers. You do not pick the newspapers. The clerk of the county where your LLC’s office is located designates one daily and one weekly paper, and you must use the ones assigned to you.
Publication has to be completed within 120 days of formation. When the six weeks are done, each newspaper issues an affidavit of publication. Those two affidavits are attached to a Certificate of Publication and filed with the Department of State with a $50 fee.
Why Manhattan is different. In New York County, the designated daily is among the most expensive legal-notice publications in the United States, with no competing daily alternative. Total publication cost for a New York County LLC typically runs $1,200 to $2,500 depending on the length of your notice and which weekly paper you are assigned. The same filing published in an upstate county can cost a few hundred dollars.
What happens if you skip it. Your LLC is not dissolved, and there is no late fee. What happens is worse in practice: the LLC’s authority to carry on business in New York is suspended, and a suspended LLC may not maintain an action or special proceeding in New York State courts. You can be sued. You cannot sue. That includes suing a client who has not paid you, or a tenant, or a contractor. The suspension lasts until you publish and file.
Realistic timing. Six weeks of publication plus affidavit issuance plus Department of State processing usually consumes 80 to 90 days of the 120-day window. Starting late is the most common reason businesses miss it.
What vState does. We obtain the county clerk’s newspaper designation, place the notice with both papers in the correct statutory form, track the six-week run, collect both affidavits, and prepare and file the Certificate of Publication. We also advise on where your LLC office should be located before you file — a decision that is legitimate to make in advance and that materially changes your cost. We handle the same process for DBA publication, liquor license publication, sidewalk cafe publication, and foundation publication.
If you have already formed an LLC and the 120 days are running, call (866) 638-3309 now rather than later.
Beyond Formation — Ongoing New York Business Compliance
Biennial Statement. Every New York LLC and business corporation files a Biennial Statement with the Department of State every two years. The fee is $9. It is due during the calendar month in which the original Articles of Organization or Certificate of Incorporation was filed. There is no mailed reminder you can rely on, and a delinquent status shows up on any Certificate of Status you order — which is exactly when a bank or landlord asks for one.
New York annual LLC filing fee (Form IT-204-LL). Separate from the Biennial Statement, LLCs and LLPs with New York source income file Form IT-204-LL with the Department of Taxation and Finance. The fee is based on New York source gross income and ranges from $25 to $4,500. It is due the 15th day of the third month after your tax year closes, and there is no extension.
Registered agent. New York makes the Secretary of State your agent for service of process by statute — you cannot opt out. That means lawsuits are served on Albany and forwarded to whatever mailing address is on file. If that address is stale, or is a coworking space you left two years ago, you can lose by default without ever seeing the summons. A commercial registered agent gives you a monitored address, same-day notice of service, and privacy from having your apartment listed in a public database. That is a real concern for founders working out of a Chelsea or Upper West Side residence.
Beneficial ownership reporting. Federal BOI reporting under the Corporate Transparency Act changed substantially. Under the FinCEN final rule effective August 14, 2026, entities formed in the United States are exempt from BOI reporting; the requirement now applies only to foreign companies registered to do business in a U.S. state. Separately, the New York LLC Transparency Act took effect January 1, 2026, and as enacted it applies only to LLCs formed outside the United States that are authorized to do business in New York, with a $25 filing fee. If you formed your LLC in New York or any other state, neither regime requires a beneficial ownership filing from you. We monitor both and will tell you if that changes.
Foreign qualification into New York. An out-of-state LLC doing business in New York files an Application for Authority with a $250 filing fee — and yes, foreign LLCs are subject to the same six-week publication requirement. Foreign corporations file their own Application for Authority at $225 and are not subject to publication.
Everything else. EIN applications, reinstatement of suspended entities, amendments, name changes, conversions, mergers, dissolutions, DBA filings, charitable solicitation registration for New York nonprofits, certificates of good standing, certified copies, apostille and authentication for international use, UCC filings, corporate kits, and independent manager or director services for SPE structures.

Frequently Asked Questions About LLC Formation in New York, NY
How much does it cost to form an LLC in New York, NY?
The Department of State filing fee for Articles of Organization is $200. In Manhattan you should also budget for the publication requirement, which typically runs $1,200 to $2,500 in New York County, plus the $50 Certificate of Publication filing fee. Expedited processing is optional and starts at $25 for 24-hour handling.
Is the New York LLC publication requirement optional?
No. It is required by statute for every LLC, PLLC, LP, and LLP, including foreign LLCs qualifying into New York. There is no waiver and no late fee the consequence is suspension of your authority to carry on business, which blocks you from bringing a lawsuit in New York State court until you comply.
Can I use a Brooklyn or upstate address to lower my publication cost?
Publication is tied to the county listed as your LLC’s office in the Articles of Organization, not to where you personally sit. Choosing that county is a legitimate planning decision, and it is far easier to make before you file than after. We walk clients through the tradeoffs, including the effect on service of process and on any local licensing you may need.
How long does formation take in New York?
Standard Department of State processing takes several business days. With 24 hour expedited service at $25, same day at $75, or two hour at $150, the formation itself can be done quickly. Publication is the long pole plan on roughly three months from formation to filed Certificate of Publication.
Do I need a registered agent if the Secretary of State is already my agent?
The Secretary of State designation is mandatory and cannot replace a monitored address. Service of process is forwarded to whatever address you listed, with no tracking and no alert. A commercial registered agent gives you same day notification, a stable business address as you move offices, and keeps your home address out of the public record.
What is the difference between the Biennial Statement and the annual LLC filing fee?
They are two different obligations to two different agencies. The Biennial Statement is a $9 filing with the Department of State every two years, due in your formation month. Form IT 204 LL is an annual filing with the Department of Taxation and Finance for LLCs with New York source income, ranging from $25 to $4,500 based on gross income.
Do I still have to file a BOI report for my New York LLC?
Under the FinCEN final rule effective August 14, 2026, companies formed in the United States are exempt from federal beneficial ownership reporting; the requirement now applies to foreign formed companies registered in a U.S. state. The New York LLC Transparency Act, effective January 1, 2026, likewise applies only to LLCs formed outside the United States. If your LLC was formed in New York or another U.S. state, no beneficial ownership filing is currently required.
My LLC missed the 120-day publication deadline. What now?
You are not dissolved and you have not lost your name. You publish now. The six week run and Certificate of Publication filing still cure the suspension, and once the certificate is accepted your authority to carry on business is restored. If you are in the middle of a dispute and need to file suit, this becomes urgent. Call (866) 638-3309 and we will start the county clerk designation the same day.
