LLC Formation Services in Tampa, FL — Fast, Accurate, and Done Right

Florida has led the country in new business formation every year since 2021. A large share of that growth has landed in Tampa Bay — the metro that has absorbed the heaviest inflow of financial services firms, professional practices, and corporate headquarters relocating out of the Northeast and Midwest.

vState Filings LLC has handled entity formation and corporate compliance since 2007 for more than 100,000 clients nationwide. We file your Florida documents correctly the first time, and then we keep watch on the deadlines that quietly destroy good companies. Call (866) 638-3309 to talk to a filing specialist.

Why Tampa Bay Entrepreneurs Choose vState Filings LLC

Tampa’s business base is different from South Florida’s. Westshore is one of the largest office districts in the state and is dense with banking, insurance, wealth management, and back-office financial operations. Downtown Tampa and the Water Street/Channelside corridor have pulled in investment firms, law practices, and health-tech companies. MacDill Air Force Base anchors a defense and government-contracting ecosystem that generates a steady stream of new LLCs and corporations with federal registration requirements attached.

Add the residential and commercial buildout across Brandon, Riverview, Wesley Chapel, Lakeland, and the Pinellas cities, and you get a very specific client profile: real estate investors holding multiple properties, licensed professionals opening practices, and relocating owners who need to register an out-of-state company to do business in Florida.

Each of those situations has a wrong way to file. We have filed all of them before.

What Sets Us Apart

What Sets Us Apart

  • Filed by people, checked by people. A specialist reviews your name, your registered agent designation, and your management structure before anything is submitted to Sunbiz. Rejected filings cost you weeks.
  • Compliance monitoring, not just formation. Florida’s annual report late fee is $400 and there is no statutory provision to waive it. Our compliance reminder subscription exists specifically to make sure you never pay it.
  • Registered agent service with a real Florida address. Florida requires a street address in-state, staffed during business hours. A P.O. box does not qualify.
  • Multi-state capability. If you are moving a New York, New Jersey, or Illinois company to Tampa, we handle both sides — Florida qualification or domestication, plus dissolution or withdrawal in the origin state.
  • Nearly two decades of filings. Founded in 2007, headquartered in Hewlett, NY, and filing in all 50 states.

Tampa Entity Formation Services Every Business Structure Covered

LLC Formation in Tampa, FL

Florida Articles of Organization cost $125 total, split into a $100 filing fee and a separate $25 registered agent designation fee. A certified copy is $30 and a certificate of status is $5 if you want them — most banks will ask for one or the other. We confirm name availability, prepare the articles, designate your agent, and return your filed documents. Florida does not require an operating agreement to be filed, but you should have one; multi-member LLCs without a written agreement are the single most common source of later disputes.

C-Corporation Formation in Florida

Florida Articles of Incorporation for a profit corporation run $70 minimum — $35 filing fee plus $35 registered agent designation. A certified copy is $8.75 and a certificate of status is $8.75. Corporations pay a higher annual report fee than LLCs ($150 versus $138.75), and Florida imposes a 5.5% corporate income tax on C-corp net income. Choose this structure if you plan to raise institutional capital or issue multiple classes of stock.

S-Corporation Election

An S-corporation is a federal tax election, not a Florida entity type. You form an LLC or corporation with the state, then file IRS Form 2553. Florida has no personal income tax, so the benefit here is federal self-employment tax treatment on owner compensation — meaningful for profitable service businesses in Hyde Park, Westshore, or St. Petersburg once earnings clear roughly $60,000–$80,000. Timing matters; we file the election with your formation so you do not miss the window.

Professional LLC (PLLC) Formation

Florida licensed professionals organize under Chapter 621, Florida Statutes. A PLLC may only be owned by people licensed to render the same professional service, and the name must include "professional limited liability company," "P.L.L.C.," or "PLLC." A PLLC does not shield you from your own malpractice or from acts of anyone under your direct supervision — carry insurance. What it does provide is a charging-order limitation, so a personal creditor generally cannot seize your interest and take over the practice.

Professional Association (PA)

The PA is the corporate version of the same Chapter 621 concept, and it remains the traditional choice for Tampa medical and dental practices. The critical distinction: PA stock can be levied on by a judgment creditor, who may then reach control through receivership. PLLC membership interests generally cannot be. If you are choosing between the two for a practice in Brandon or Clearwater, call (866) 638-3309 and we will walk through the tradeoff with you.

Limited Partnership (LP) Formation

LPs are common for Tampa Bay real estate syndications and family investment vehicles, with a general partner managing and limited partners passive. Budget accordingly for compliance: Florida charges LPs and LLLPs a $500 annual report fee, far above the LLC and corporate rates.

Limited Liability Partnership (LLP)

LLPs suit established professional partnerships — accounting firms, law firms, engineering groups — where partners want liability separation from each other's conduct while keeping partnership tax treatment. We handle registration and the annual filings that follow.

Florida's New Protected Series LLC — What Tampa Investors Need to Know

On July 1, 2026, Florida’s protected series LLC law took effect. Enacted through CS/SB 316 and CS/HB 403 and codified at sections 605.2101–605.2802, Florida Statutes, it lets a single Florida LLC create one or more designated “protected series,” each with its own assets, members, managers, and liabilities.

The point is the horizontal liability shield. Assets held in Series A are, by statute, insulated from creditors of Series B and from creditors of the parent LLC. For a Riverview or Wesley Chapel investor holding six rental doors, that is the structure previously achieved by forming six separate LLCs — six filings, six registered agent designations, six annual reports at $138.75 each.

Establishing a series requires filing a certificate of designation of a protected series with the Florida Department of State, which converts your LLC into a protected series LLC. Consent of all members is required unless your operating agreement provides otherwise. Each series name must begin with the name of the parent LLC. Each designation is a separate filing with its own fee.

Now the caveats, which matter as much as the benefits:

Recordkeeping is the whole ballgame. Assets must be recorded with enough specificity that a disinterested, reasonable person could tell which series owns what. Separate bank accounts, separate insurance, separate leases and contracts. Sloppy books invite a court to collapse the shields.

There is no Florida case law. The statute is new and the horizontal shield has been tested very little anywhere in the country.

Other states may not honor it. If you own property outside Florida, the forum state’s treatment of a Florida series is uncertain.

Federal tax treatment remains unsettled in several respects. Talk to your CPA before restructuring.

Lenders and title companies are still catching up. Expect questions on financing and closings.

We file protected series designations and can also form conventional single-purpose LLCs if you or your counsel decide the traditional route is the safer bet. Either way, you get an honest read.

The Florida Annual Report Deadline and the Late Fee You Cannot Get Waived

Every Florida LLC, corporation, and limited partnership must file an annual report with the Division of Corporations between January 1 and 11:59 p.m. on May 1. Current fees: $138.75 for an LLC, $150 for a profit corporation, $61.25 for a nonprofit, and $500 for an LP or LLLP.

File one day late and Florida adds a $400 penalty. This is not a discretionary fine. There is no provision to abate or waive it — the statutory waiver authority was repealed in 2010 — and it applies whether or not you ever received a reminder notice. A $138.75 obligation becomes $538.75. Nonprofits are the only entities exempt from the penalty.

It gets worse from there. If your report is still unfiled by the third Friday in September, the state administratively dissolves or revokes your entity effective the fourth Friday in September. You lose the name, the good standing, and the liability protection you formed the entity to get. Reinstating an LLC costs $100 plus every missed annual report at $138.75. Reinstating a profit corporation costs $600 plus $150 — a $750 minimum — and there is no statutory provision to waive the reinstatement fee either.

This is the concrete reason to use a filing service rather than a calendar reminder. Our compliance subscription tracks your Florida deadline, files the report, and confirms acceptance. If you are already dissolved, we handle reinstatement — call (866) 638-3309.

Fictitious Names and DBA Registration in Hillsborough County

If your Tampa business operates under any name other than its exact legal name, Florida requires a fictitious name registration. The filing fee is $50 and is nonrefundable.

The step most people miss: before registering, you must advertise the name at least once in a newspaper that meets Chapter 50 requirements in the county where your principal place of business sits — Hillsborough County for Tampa and Brandon, Pinellas for St. Petersburg and Clearwater, Pasco for Wesley Chapel. You do not submit proof of publication; you certify compliance in the signature block. Certifying falsely is a real exposure.

Registration lasts five years and expires on December 31 of the fifth year. And it grants no exclusive rights — anyone else can register the same fictitious name. Trademark protection is a separate matter. We handle the registration, the renewal cycle, and the advertising coordination.

Beyond Formation Ongoing Florida Business Compliance

EIN acquisition. Required for hiring, business banking, and most tax filings. We obtain it as part of formation.

Registered agent service. Florida requires an agent with a physical in-state street address available during normal business hours, who signs to accept the designation. Using your home address makes it public record and ties service of process to your front door.

Federal BOI reporting. On August 11, 2026, FinCEN issued a final rule permanently removing the beneficial ownership reporting requirement for U.S. companies and U.S. persons under the Corporate Transparency Act, and it will delete previously reported U.S. person data. Foreign reporting companies must still report BOI for foreign individuals. If you have a foreign-owned entity operating in Tampa, this still applies to you.

Foreign qualification. Moving a New York, New Jersey, or Illinois company to Tampa? You either register it as a foreign entity in Florida or convert it into a Florida entity. The right choice depends on contracts, licensing, and lender consents.

Document retrieval and apostille. Certificates of status, certified copies, and apostilles for international banking, contracts, and visa work.

Also available: amendments, mergers, conversions, dissolutions, charitable solicitation registration, UCC filings, corporate kits and seals.

Frequently Asked Questions About LLC Formation in Tampa, FL

How much does it cost to form an LLC in Tampa, Florida?

The state fee is $125 — a $100 filing fee for the Articles of Organization plus a $25 registered agent designation fee. A certified copy adds $30 and a certificate of status adds $5. Those are state charges; our service fee is separate and quoted up front.

Online filings through Sunbiz are typically processed within a few business days, though the Division’s queue lengthens noticeably in January and again in the weeks before the May 1 annual report deadline. Filing early in the year is meaningfully faster than filing in April.

The window is January 1 through 11:59 p.m. on May 1. Miss it and Florida adds a $400 penalty that cannot be waived or abated. If the report is still outstanding after the third Friday in September, your entity is administratively dissolved effective the fourth Friday in September.

Yes. Every Florida LLC and corporation must maintain a registered agent with a physical Florida street address — not a P.O. box — available during normal business hours. The agent must sign accepting the designation. You may serve as your own, but your address becomes public record.

Effective July 1, 2026, Florida permits a single LLC to establish designated protected series, each with its own liability shield. It is genuinely useful for investors holding multiple properties, since it avoids forming a separate LLC per asset. But the law is untested in Florida courts, recordkeeping demands are strict, and out-of-state recognition is uncertain. Discuss it with your attorney and CPA before restructuring.

Only if you operate under a name different from your entity’s exact legal name. The filing fee is $50, you must advertise the name in a qualifying Hillsborough County newspaper before registering, and the registration expires December 31 of the fifth year.

Not for U.S. companies and U.S. persons. FinCEN’s final rule of August 11, 2026 permanently removed that requirement and provides for deleting previously reported U.S. person information. Foreign reporting companies must still report beneficial ownership for foreign individuals

Yes, through either foreign qualification in Florida or conversion to a Florida entity. Which one is right depends on your contracts, licenses, lender agreements, and tax posture. We handle the Florida filing and the corresponding withdrawal or dissolution in your prior state. Call (866) 638-3309 to review your situation.
