Business Formation and Compliance Services on Long Island, NY
vState Filings LLC is headquartered in Hewlett, New York Nassau County, five minutes from the Rockville Centre line. We have been filing entity formation and corporate compliance documents since 2007, and we have handled filings for more than 100,000 clients across all fifty states.
Long Island is not a market we expanded into. It is where we are. Call (866) 638-3309 and you reach people who know what the Nassau County Clerk requires, what Newsday charges per line, and why a dental practice in Garden City cannot legally operate through an ordinary LLC.
Why Long Island Business Owners Choose vState Filings LLC
Most online formation services are call centers in another time zone working from a script. They file a template, take your money, and disappear before the second stage requirements come due. In New York, that is where the real work starts.
New York has more post formation traps than almost any state in the country. A six week newspaper publication requirement with a hard 120 day deadline. A biennial statement tied to your original filing month. A professional licensing consent process administered by a state agency that has nothing to do with the Department of State. Miss any of them and your entity’s authority to conduct business gets suspended.
We are an office on Long Island staffed by people who file these documents every business day. When something comes back rejected from Albany and rejections happen, usually over name conflicts or missing consents we know why, and we fix it without restarting your clock.

Long Island Business Formation Services Every Structure Covered
LLC Formation on Long Island
The limited liability company is the default choice for most Long Island small businesses contractors in Hicksville, retail operations in Huntington Village, consultancies in Melville. New York's filing fee for Articles of Organization is $200. Expedited processing is available at $25 for 24-hour handling, $75 for same day, and $150 for two hour.
Formation is the easy part. Every New York LLC then faces the publication requirement described below. We build both stages into a single engagement so nothing falls through.
C-Corporation Formation in New York
The Certificate of Incorporation for a domestic business corporation carries a $125 filing fee. C corporations remain the right structure for businesses planning outside investment, issuing multiple classes of stock, or building toward acquisition.
We prepare the certificate, handle the share structure, and can supply a corporate kit with seal, stock certificates, and minute book through our corporate supplies service.
S-Corporation Election
S corporation status is a tax election, not an entity type. Here is the part that catches Long Island owners: federal S election does not give you New York S status. New York requires a separate election on Form CT 6, filed with the Department of Taxation and Finance with the consent of every shareholder.
The deadline is the fifteenth day of the third month of the tax year for which the election is to take effect, or any time during the preceding tax year. Miss it and the corporation is taxed as a C corporation at the state level for a full year while filing as an S corporation federally. We prepare both the federal Form 2553 and the New York CT 6.
Professional LLC (PLLC) Formation
If you hold a license from the New York State Education Department, you generally cannot practice through a standard LLC. You need a professional service limited liability company. The Articles of Organization fee is $200, the same as a regular LLC but the filing will be rejected unless it is accompanied by the required consent from your licensing authority.
Professional Corporation (PC)
Limited Partnership (LP) Formation
The Certificate of Limited Partnership costs $200 to file. LPs remain common in Long Island real estate a general partner managing the property, limited partners contributing capital. Note that LPs are subject to New York's publication requirement as well.
Limited Liability Partnership (LLP)
Forming a Professional Practice on Long Island PLLC and PC Requirements
This is where the cheap online form fails, and it fails expensively.
The New York State Education Department’s Office of the Professions licenses 39 professions. That list includes medicine, dentistry, veterinary medicine, nursing, midwifery, pharmacy, optometry, podiatry, chiropractic, physical and occupational therapy, psychology, social work and the other mental health practitioner licenses, speech language pathology, audiology, dietetics and nutrition, massage therapy, acupuncture, applied behavior analysis, architecture, engineering, land surveying, landscape architecture, interior design, geology, and public accountancy.
If you are licensed in one of these professions, New York does not permit you to render those services through an ordinary LLC or business corporation. You must form a PLLC, a PC, a design professional corporation, or an LLP. Attorneys are governed separately by the Appellate Division but face the same structural rule.

The consent requirement is the step that trips people up.
To complete your professional entity filing, you must attach a Certificate of Authority (Form PLS709) issued under seal by the NYSED Division of Professional Licensing Services or, for attorneys, a Certificate of Good Standing from the appropriate Appellate Division. That certificate is obtained from a different agency, on its own timeline, before you file anything in Albany.
There are ownership restrictions on top of that. In a PLLC or PC, members and shareholders must generally be licensed in the profession the entity practices. Certain professions physicians, dentists, and licensed clinical social workers among them cannot co own a professional entity with practitioners of a different profession at all. Design professional corporations are the narrow exception, permitting limited non licensed ownership below a 25 percent threshold.

We see the consequences regularly: a Great Neck practice that formed a plain LLC through a $49 website, operated for two years, and discovered the problem during a hospital credentialing review or a malpractice carrier audit. Unwinding that means a conversion or a new entity, a new EIN in some cases, retitled contracts, and a payer re-enrollment cycle.
vState handles professional formations as a complete process the NYSED Certificate of Authority, the correctly drafted articles or certificate, the filing, and the publication that follows. Call (866) 638-3309 before you form, not after.
The New York LLC Publication Requirement in Nassau and Suffolk
Within 120 days of formation, every New York LLC must publish a notice once a week for six consecutive weeks in two newspapers one daily, one weekly designated by the county clerk of the county where the LLC’s office is located. You then file a Certificate of Publication with the Department of State, with the newspaper affidavits attached, for a $50 fee.
Failure to publish and file within 120 days results in suspension of the LLC’s authority to carry on, conduct, or transact business in New York. The requirement applies to LPs and LLPs as well.
Nassau County: Newsday is currently the only designated daily. Typical do-it-yourself total cost runs roughly $750 to $1,350+, with the daily notice generally $400–$800 and a designated weekly $200–$400, plus the $50 state fee.
Suffolk County: Also Newsday for the daily, but Suffolk has a considerably deeper roster of designated weeklies across Babylon, Brookhaven, East Hampton, Huntington, Islip, Riverhead, Shelter Island, Smithtown, Southampton, and Southold. Typical DIY total runs roughly $600 to $1,150+, with weeklies often in the $60–$200 range.
Cost varies because Newsday bills by the line — a long entity name and a long street address cost more than a short one. That is a real lever, and one worth discussing before your articles are drafted rather than after.
Two practical points. First, use only newspapers currently designated by that county’s clerk; a notice run in the wrong paper does not count and cannot be salvaged. Second, the published text must match Department of State records exactly. We manage both.
Beyond Formation Ongoing New York Business Compliance
Biennial Statement. Every New York LLC and corporation must file a Biennial Statement every two years, during the calendar month in which the original Articles of Organization, Certificate of Incorporation, or Application for Authority was filed. The fee is $9. Skip it and your entity is flagged past due — which shows on any Certificate of Status and can stall a closing, a loan, or a license renewal. Our compliance reminder subscription tracks the date for you.
Federal BOI reporting. This rule changed and a great deal of stale advice is still circulating. FinCEN issued a final rule on August 11, 2026 making permanent the exemption for domestic entities. Companies created in the United States are exempt from beneficial ownership information reporting and are no longer required to file BOI reports. Only entities formed under foreign law and registered to do business in a U.S. state remain reporting companies.
New York LLC Transparency Act. The state law took effect January 1, 2026, but after the Governor declined to decouple it from the federal standard, its scope is narrow: it reaches only non-U.S. LLCs authorized to do business in New York. Those file a beneficial ownership disclosure or an attestation of exemption at $25, within 30 days of obtaining a Certificate of Authority — or by December 31, 2026 for LLCs authorized before this year. LLCs formed in New York or any other state are not covered.
Other filings we handle: EIN applications, name availability searches ($5 per name), foreign qualification (Application for Authority: $250 for foreign LLCs, $225 for foreign corporations), assumed name/DBA certificates ($25 for LLCs), certificates of amendment ($60), conversions ($200 for LLCs), mergers, dissolutions ($60), reinstatements, charitable solicitation registration, 501(c)(3) applications, not-for-profit incorporation ($75), UCC filings, certificates of good standing ($25), certified copies, and apostille service.

Serving Nassau County, Suffolk County, and the Greater Long Island Area
From our Hewlett office we work with clients throughout Nassau Garden City, Hempstead, Mineola, Great Neck, Hicksville, Rockville Centre and across Suffolk, from Huntington and Melville through Islip, Babylon, and Smithtown out to Riverhead and the Hamptons.
The work varies by corridor. Medical, dental, and veterinary PLLCs and PCs cluster around the Mineola and Garden City hospital corridor. Engineering, architecture, and land surveying practices concentrate in Melville and Hauppauge. Real estate holding entities and single purpose entities dominate the East End and the South Shore. Second and third generation family businesses across the Island need conversions, amendments, and member changes done cleanly so a succession does not disturb contracts, licenses, or banking relationships.

Frequently Asked Questions About Business Formation on Long Island
How much does it cost to form an LLC on Long Island?
The Department of State charges $200 for Articles of Organization. The larger expense is publication: budget roughly $750–$1,350+ in Nassau and $600–$1,150+ in Suffolk for a do-it-yourself approach, plus the $50 Certificate of Publication fee. Expedited state processing is $25 for 24 hours, $75 same-day, or $150 for two hours.
Do I have to publish in Newsday?
For the daily-newspaper half of the requirement in both Nassau and Suffolk, Newsday is currently the designated option. The weekly is your choice from the county clerk’s designated list, and Suffolk’s list is substantially longer, which creates room to control cost. Confirm designations before publishing — running in an undesignated paper does not satisfy the statute.
I am a licensed professional. Can I just form a regular LLC?
No. If you hold a license from the NYS Education Department in one of the 39 licensed professions, you must form a PLLC, PC, DPC, or LLP to render those services. Operating a licensed practice through a standard LLC puts you out of compliance with New York law and can create problems with credentialing, insurance, and license renewal.
What is Form PLS709 and why do I need it?
PLS709 is the Certificate of Authority issued under seal by the NYSED Division of Professional Licensing Services. It confirms the members or shareholders are licensed and in good standing. The Department of State will not accept a PLLC or PC filing without it, or without an Appellate Division Certificate of Good Standing for attorneys. Because it comes from a separate agency, it should be started first.
How often do I file a Biennial Statement, and what does it cost?
Every two years, during the same calendar month your entity’s original formation document or Application for Authority was filed. The fee is $9. Missing it marks the entity past due in state records, which appears on any Certificate of Status and can hold up a sale, financing, or contract award.
Do I still need to file a BOI report with FinCEN?
If your company was created in the United States, no. FinCEN’s final rule of August 11, 2026 permanently exempts domestic entities from beneficial ownership information reporting. Only foreign-formed entities registered to do business in a U.S. state remain reporting companies. New York’s LLC Transparency Act is likewise limited to non-U.S. LLCs authorized in New York.
My corporation is an S-corp federally. Is anything else required in New York?
Yes. New York requires its own election on Form CT-6, signed by all shareholders, filed with the Department of Taxation and Finance. The deadline is the fifteenth day of the third month of the tax year, or any time during the prior tax year. Without it, New York taxes the corporation as a C-corporation regardless of federal status.
Can vState serve as my registered agent in New York?
Yes. Registered agent service is one of our subscription offerings, along with compliance reminders and independent manager or director services for special-purpose entities. We also handle foreign qualification if you formed elsewhere and are now doing business in New York. Call (866) 638-3309 to set it up.
